Section 01

Definitions

In these Terms of Service, the following definitions apply:

• "NeverSleep Forex Signals", "we", "us", "our", "us", "our" — refers to NeverSleep Forex Signals, a 24/7 automated trading signals service operated from Nairobi, Kenya, accessible at neversleepforexsignals.com.
• "Service" or "Services" — refers to our website, VIP Telegram signal channels, trading signals, analysis content, economic calendar, and all related features.
• "Subscriber" or "you" — any individual who registers, subscribes, pays for, or uses our Services.
• "VIP Channel" — the private Telegram channel through which subscribers receive trading signals.
• "Signal" — a trading instruction generated by our automated Expert Advisor (EA) bot, including entry price, stop loss, and take profit levels.
• "Subscription Period" — the duration for which you have paid access: 1 month, 3 months, 6 months, or 12 months.
• "Content" — all signals, analysis, charts, commentary, and other material we publish or distribute.

Section 02

Eligibility

You also confirm that:

• Trading Forex, Gold, and Deriv Synthetic Indices is legal in your country or jurisdiction.
• You are not accessing our Services from a jurisdiction where such services are prohibited.
• You have the financial capacity to absorb potential trading losses without it causing significant financial hardship.
• You understand that trading carries risk of loss and you are acting of your own free will.

We reserve the right to refuse or cancel subscriptions at our discretion if eligibility requirements are not met.

Section 03

Our Services

NeverSleep Forex Signals provides the following services to subscribers:

• VIP Trading Signals: 3–8 automated trading signals per day delivered via private Telegram channel, covering 45+ symbols including Major/Minor Forex pairs, Gold (XAUUSD), and Deriv Synthetic Indices.
• Signal format: Each signal includes a symbol, direction (BUY LIMIT or SELL LIMIT), entry price, stop loss level, and one or two take profit levels.
• Signal updates: Live updates when trades are modified, partially closed, or fully closed.
• Market analysis: Occasional technical analysis and news impact reports.
• Customer support: Access to our support team via WhatsApp and Telegram.
• Website features: Economic calendar embed, performance history, free sample signals, and educational content.

Section 04

Subscriptions & Plans

We offer four subscription plans. Current pricing is as follows:

Prices are in United States Dollars (USD). We reserve the right to change pricing at any time; however, any price change will not affect an already active subscription period.

Subscriptions are not automatically renewed. You will need to make a new payment before expiry if you wish to continue access. We may notify you via Telegram or WhatsApp as your subscription approaches expiry.

Access begins immediately upon payment verification and continues for the duration of your chosen subscription period from the date of activation.

Section 05

Payment Terms

We accept the following payment methods:

All payments are final upon transmission. It is your responsibility to send the correct amount in the correct currency or token. NeverSleep Forex Signals is not responsible for errors made during payment, including incorrect amounts, wrong networks, or transactions sent to incorrect accounts.

Upon successful payment verification, access to the VIP Telegram channel is granted automatically. If access is not received within 10 minutes of payment, contact us immediately via WhatsApp.

Section 06

Refund Policy

Exceptions where a refund or credit may be considered at our sole discretion:

• You paid but never received access to the VIP channel within 24 hours of payment, despite contacting us.
• You were charged twice for the same subscription period due to a technical error on our side.
• A significant technical failure prevented service delivery for more than 7 consecutive days.

To request a refund under an eligible exception, contact us via WhatsApp within 7 days of the issue arising, with proof of payment (M-Pesa confirmation, transaction hash, or screenshot).

Refunds, if approved, will be processed within 7–14 business days via the original payment method where technically possible.

Trading losses are not grounds for a refund. By subscribing, you acknowledge that signal-based trading involves financial risk and that losses may occur even when following signals accurately.

Section 07

Signal Delivery

Trading signals are delivered exclusively through our private Telegram channel. You are responsible for:

• Maintaining an active Telegram account and enabling notifications.
• Ensuring you have a compatible device and internet connection to receive signals in a timely manner.
• Acting on signals at your own discretion — we do not place trades on your behalf.
• Using an appropriate broker and trading platform to execute the signals you receive.

We are not responsible for any losses arising from:

• Delayed receipt of signals due to Telegram outages, internet connectivity issues, or device problems.
• Your inability to execute a signal in time.
• Broker-related issues such as slippage, requotes, or platform downtime.
• Your choice to modify signal parameters (entry, SL, or TP levels).

Financial Disclaimer

Nothing on our website, in our Telegram channel, or in any communications from us constitutes:

• Financial advice, investment advice, or a recommendation to trade any specific instrument.
• A guarantee of profit or a promise of specific financial returns.
• An invitation to invest or a managed investment service.
• A representation that our past performance will be replicated in the future.

All trading decisions are made solely by you. You should seek independent financial advice from a qualified professional before engaging in any form of trading or investment activity.

Section 09

Risk Warning

Before deciding to trade, you should carefully consider your investment objectives, level of experience, and risk appetite. You should be aware of all the risks associated with trading on margin, and seek advice from an independent financial advisor if you have any doubts.

The possibility exists that you could sustain a loss of some or all of your initial investment and therefore you should not invest money that you cannot afford to lose. Past performance results are not necessarily indicative of future performance. The pip results displayed on our website represent historical performance of our trading bot and are not a guarantee or prediction of future results.

Deriv Synthetic Indices are simulated markets that operate 24/7. While they are not affected by real-world news events, they are still subject to inherent market risk and can result in losses.

Section 10

User Obligations

As a subscriber, you agree to:

1. Provide accurate and truthful information when contacting us or making payments.
2. Use our Services only for your own personal, non-commercial trading activities.
3. Keep your Telegram account and channel access secure. Do not share your invite link with others.
4. Trade responsibly and within your financial means. Never risk more than you can afford to lose.
5. Use an appropriate lot size relative to your account balance. Our signals do not specify lot sizes — this is your responsibility.
6. Comply with all applicable laws and regulations in your country, including those relating to financial services and taxation of trading profits.
7. Notify us promptly if your payment details change or if you experience issues receiving signals.
8. Treat our support team with respect. We reserve the right to terminate access for abusive behaviour.

Section 11

Prohibited Use

You must not, under any circumstances:

• Redistribute our signals — sharing, forwarding, or re-publishing our signals in any public or private channel, group, or forum is strictly prohibited.
• Resell access — reselling or sub-licensing your subscription or Telegram channel access to others is prohibited.
• Share invite links — your Telegram channel invite is for your personal use only. Sharing it with others will result in immediate termination without refund.
• Screenshot for public sharing — publishing screenshots of our private signal content on social media or public platforms without our written consent is prohibited.
• Impersonate NeverSleep Forex Signals — creating fake accounts, channels, or websites that impersonate our brand is strictly prohibited and may result in legal action.
• Use our content commercially — using our signals or analysis as part of your own paid or free signal service is prohibited without a written agreement from us.
• Attempt to reverse-engineer our bot — decompiling, analysing, or attempting to replicate our trading algorithm is prohibited.

Violation of any prohibited use policy will result in immediate termination of your subscription without refund, and we reserve the right to pursue legal remedies where applicable.

Section 12

Intellectual Property

All content produced and distributed by NeverSleep Forex Signals — including but not limited to trading signals, analysis, website design, written content, graphics, bot algorithms, and brand assets — is the exclusive intellectual property of NeverSleep Forex Signals.

By subscribing, you are granted a limited, personal, non-transferable, non-exclusive licence to access and use our content solely for your own personal trading purposes during your active subscription period.

This licence does not grant you any ownership rights and does not permit you to copy, reproduce, distribute, modify, or create derivative works from our content without our prior written consent.

The "NeverSleep Forex Signals" name, logo, and brand identity are the property of NeverSleep Forex Signals. Use of our brand assets without permission is prohibited.

Section 13

Limitation of Liability

Specifically, we are not liable for:

• Any financial losses incurred as a result of following our trading signals, whether or not you followed them exactly.
• Losses resulting from your broker's execution, slippage, or platform issues.
• Losses resulting from delayed signal receipt due to Telegram, internet, or device issues.
• Any decisions you make regarding lot sizing, leverage, or position management.
• Losses during periods of extreme market volatility, news events, or broker outages.
• Errors, interruptions, or delays in our service due to technical issues beyond our control.

Our total aggregate liability to you under these Terms, for any cause whatsoever, shall not exceed the subscription fee you paid for the current active subscription period.

Section 14

Indemnification

You agree to indemnify, defend, and hold harmless NeverSleep Forex Signals and its team members from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Terms of Service.
• Your use of our Services in a manner not authorised by these Terms.
• Your violation of any applicable law or regulation.
• Any trading activity you conduct as a result of using our signals.
• Any third-party claims arising from your redistribution or misuse of our content.

Section 15

Termination

By you: You may stop using our Services at any time. Subscriptions are not automatically renewed, so simply not renewing is sufficient. No refund is issued for unused portions of an active subscription period (see Section 6).

By us: We reserve the right to suspend or terminate your access immediately and without refund if:

• You violate any provision of these Terms, particularly Section 11 (Prohibited Use).
• You engage in abusive, threatening, or fraudulent behaviour toward our team or other subscribers.
• We have reason to believe your account is being used by multiple people.
• We are required to do so by law or regulatory authority.
• We discontinue the Service (see below).

Service discontinuation: We reserve the right to discontinue or modify any part of our Services at any time. In the event of a full service discontinuation, we will provide at least 30 days' notice via our Telegram channel and website, and will offer a pro-rated refund for any unused subscription period.

Section 16

Governing Law & Disputes

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. Please contact us via WhatsApp to raise any concern — we aim to resolve all issues promptly and fairly.

If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.

If you are a consumer based in a country with mandatory consumer protection laws, those laws may provide you with additional rights that override certain provisions of these Terms.

Section 17

Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our Services, business practices, or legal requirements. When we make changes:

• We will update the "Last Updated" date at the top of this page.
• We will notify active subscribers of material changes via our VIP Telegram channel at least 14 days before the new terms take effect.
• We will post a prominent notice on our website homepage for 30 days following any significant update.

Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you should stop using our Services and contact us regarding your subscription.

These Terms constitute the entire agreement between you and NeverSleep Forex Signals with respect to the use of our Services, and supersede all prior agreements and understandings, whether written or oral, relating to that subject matter.
